Useful Information for Starting a Business in Uzbekistan

10 Key Steps:

1) Choose a company name

There are specific rules and restrictions when selecting a name. We recommend preparing several options—we will check them and advise which ones are likely to be approved by the state registration system.

2) Determine the charter (authorized) capital

Set the size of the charter capital: from UZS 1,000,000 (≈ $85) and above.
If the capital is up to UZS 400,000,000 (≈ $31,000), the state fee is 1 BRV = UZS 375,000 (≈ $30).
If the capital is UZS 400,000,000 or more, the fee is 10 BRV = UZS 3,750,000 (≈ $290). In this case, the entity is automatically registered as an LLC (referred to in the source as “ИП ООО”).

The charter capital amount is fixed in the Articles, but it can be topped up within 12 months.

3) Prepare the company address

A registered (legal) address for the future office and the building’s cadastral number are required for registration.
We recommend finding premises in advance, obtaining a letter of guarantee, and confirming the cadastral number. After opening the current (settlement) account, you must conclude a lease agreement and register it in the system.

4) Define your business activities

Describe your primary and additional lines of business in detail. We will help you choose the correct OKED codes.

5) Choose a tax regime

An important step is selecting your tax system (with or without VAT). Most new companies start with the unified turnover tax — 4% of revenue, but the regime depends on your activity.
Taxes in Uzbekistan (2025):
Turnover tax: 4% (for annual turnover up to UZS 1 billion)
VAT: 12%
Corporate income tax: 15%
Social tax: 12%
Personal income tax (residents): 12%

6) Company founders

If a founder is an individual:
National and international passports
Obtain a personal PINFL code (personal identification number)
Register a SIM card to the passport and PINFL
Obtain an EDS key (Electronic Digital Signature) — allows remote management of the company

7) Company director

If the director is a non-resident, a work permit must be obtained within 3 months (issued by the Ministry of Labor for 6 or 12 months).

The company is obligated to pay the director at least the minimum wage and to remit the applicable taxes.

8) Licenses and certificates

Some activities require mandatory licensing or certification.

9) Do-it-yourself or professional support
